About the role
The Australian Psychology Accreditation Council (APAC) is seeking a Company Secretary (part-time up to 0.4 or contractor) to join their team in a part-time or contract capacity. As the Company Secretary, you will play a crucial role in ensuring the organisation's compliance with legal and regulatory requirements, as well as providing strategic support to the Board and executive leadership. This is an excellent opportunity to contribute your expertise to a dynamic and impactful organisation based in the heart of Melbourne, VIC.
What you'll be doing
- Providing expert guidance and advice to the Board, sub-committees and APAC staff team on corporate governance matters
- Overseeing the preparation and distribution of Board and committee meeting agendas, papers and minutes (supported by APAC staff)
- Ensuring compliance with all relevant legislation, regulations and APAC's constitution (ACNC, Corporations Act, ASIC, etc)
- Maintaining accurate and up-to-date company records, registers and filings
- Coordinating the annual general meeting and other events
- Advising on directors' duties, conflicts of interest and other governance-related matters
- Facilitating director induction and training
- Assisting with the development and implementation of governance policies and procedures
- Providing support and guidance to the APAC staff team on corporate secretarial matters
What we're looking for
- Experience (3+ years) as a Company Secretary or in a corporate secretarial role, ideally within a not-for-profit
- Strong understanding of corporate governance, relevant company law and regulatory requirements
- Excellent written and verbal communication skills, with the ability to liaise effectively with stakeholders at all levels
- Proven ability to work independently and proactively, with a keen eye for detail
- Tertiary qualifications in a relevant field, such as law, business or a professional company secretarial qualification
